Mennemeier, Glassman & Stroud has represented Fortune 500 companies, privately-held companies, and individuals in a vast variety of “traditional” commercial disputes such as breach of contract, unfair competition and franchise disputes.  In addition to general commercial litigation, we have also handled claims under Articles 2 (sale of goods), 4 (bank deposits and collections), 8 (investment securities), and 9 (secured transactions) of the Uniform Commercial Code; collection matters, including applications for pre-judgment writs of attachment; usury law issues; the rights of minority shareholders under the California Corporations Code; breach of warranty claims; quiet title actions; corporate “alter ego” claims; interpleader actions; and the assertion of contractual and equitable indemnification claims.

 

Commercial Litigation Representative Matters
  • Brand v. Carl Karcher Enterprises, defended lessee in dispute with property owner after fast food restaurant was destroyed by fire.  Action settled during trial. 
  • Harley Davidson Motor Co. v. Wintune Graphics, represented manufacturer in breach of contract claim against parts supplier. 
  • Bloom v. Sacramento A-1 Door, represented corporation in minority shareholder action.
  • Millwork Specialties International v. The Stanley Works, represented plaintiff in action alleging breach of non-disclosure agreement.
  • Yamasaki Farms v. Lipton, successfully defended cannery in private arbitration against claims that cannery breached contract by refusing to accept shipments of tomatoes sprayed with pesticides.
  • HMA Franchise Systems Inc. v. Stoker, represented franchisor in dispute with franchisee arising from discontinuation of franchise agreement.
